Use Cortext in good faith. We'll run it reliably and not abuse what you give us. Don't reverse-engineer it or use it to do harm. Standard limits on liability apply.
The agreement
These Terms of Service (“Terms”) form a binding contract between you (“you”) and Cortext (“Cortext,” “we,” “us”) governing your access to and use of the services at cortext.ai, app.cortext.ai, and the Cortext API (the “Services”).
By creating a Cortext account, accessing the Services, or clicking “I agree,” you accept these Terms. If you're using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
Who can use Cortext
You may use the Services only if (a) you are at least 16 years old, (b) you can form a binding contract with Cortext under applicable law, and (c) you are not located in a jurisdiction subject to US or EU comprehensive sanctions and are not on a prohibited-parties list.
Your account
You are responsible for all activity that occurs under your account. Keep your credentials confidential, enable multi-factor authentication, and notify us immediately at security@cortext.ai if you suspect unauthorized access.
We may suspend or terminate accounts that appear compromised, abusive, or in violation of these Terms, with or without notice.
Your content and memories
The conversations, documents, facts, and memories you import or create in Cortext (“Your Content”) remain yours. You retain all rights, title, and interest in Your Content.
You grant Cortext a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and otherwise use Your Content solely for the purpose of providing the Services to you. This license ends when Your Content is deleted, and survives only to the extent necessary to complete any already-initiated operation.
You are solely responsible for Your Content. You represent that you have the rights necessary to submit it and that it doesn't violate law, infringe intellectual property, or otherwise breach anyone's rights.
We do not train machine-learning models on Your Content.We do not use Your Content to improve general-purpose models, our or anyone else's. See the Privacy Policy for the full picture.
Acceptable use
You agree not to, and not to permit anyone to:
- Use the Services to engage in illegal activity, harass others, or generate material that violates applicable law;
- Circumvent authentication, rate limits, or access controls; attempt to access data or accounts that aren't yours;
- Submit content that infringes intellectual property, violates privacy rights, or contains malware;
- Reverse engineer, decompile, or extract the source code of the Services, except to the extent such restriction is prohibited by applicable law;
- Resell, sublicense, or lease the Services to third parties without a written agreement with us;
- Use the Services to build a competing product, or to benchmark the Services for publication, without our prior written consent.
Fees, billing, and refunds
Certain features of the Services require a paid subscription. Fees are described on the pricing page and billed monthly or annually in advance through our payment processor. All fees are non-refundable except where required by law or specifically stated on your plan.
You may cancel your subscription at any time from within the product. Cancellation takes effect at the end of your current billing period; you retain access through that date.
Fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and assessments except for taxes on Cortext's net income.
Third-party services
The Services integrate with third-party model providers and tools. When you route requests to a third-party provider through Cortext, that provider's terms and privacy policy apply to the forwarded data. Cortext is not responsible for the acts, omissions, availability, or content of third-party services.
Intellectual property
Cortext and its licensors retain all right, title, and interest in and to the Services, including all software, designs, text, graphics, trademarks, and the Cortext name and logo. No rights are granted to you except as expressly stated in these Terms.
Feedback you send us is non-confidential, and we may use it without obligation.
Termination
You may close your Cortext account at any time from the product. We may suspend or terminate your access to the Services for material breach of these Terms, for legal or safety reasons, or if required by law.
Upon termination, you may export Your Content for 30 days. After that, we will delete Your Content in accordance with the retention schedule in our Privacy Policy.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEXT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AI-generated outputs may be inaccurate, incomplete, or inappropriate. You should not rely on the Services for legal, medical, financial, or other professional advice. Use your judgment.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEXT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
CORTEXT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CORTEXT IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED US DOLLARS (US $100).
Indemnity
You will defend, indemnify, and hold harmless Cortext and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) Your Content, or (c) your breach of these Terms.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes under US $10,000 may be brought in small-claims court where you reside. Any other dispute will be resolved by binding arbitration administered by JAMS under its then-current rules, with the seat in Wilmington, Delaware.
You and Cortext waive any right to a jury trial and to participate in a class action.
Changes to these Terms
We may modify these Terms from time to time. If a change is material, we will notify you by email at least 30 days before it takes effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and any order form or plan-specific terms you accept, are the entire agreement between you and Cortext regarding the Services.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
